TERMS AND CONDITIONS

I agree that the following terms and conditions (the “Terms”) will govern my participation in Invasion #withGalaxy (the “Star Wars® AR Experience”) brought to you by Samsung Electronics America, Inc. (“Samsung”), and that by clicking to accept these Terms, I hereby unconditionally and irrevocably agree to the following:

1. I represent, acknowledge and agree that (a) I am competent to agree to these Terms and free to grant the rights granted hereunder, unencumbered and without reservation, (b) I knowingly and freely assume and accept full responsibility for any and all risks, whether known or unknown to me, arising out of my participation in the Activation, and (c) I shall comply with all stated instructions, terms and conditions applicable to my participation in the Star Wars® AR Experience, including Samsung’s and , and any terms required for the sharing of my geographic location by my mobile device. I further represent (as applicable) that (i) I am 18 years of age or older and not otherwise legally incapacitated, or (ii) if the individual who will be participating in the Star Wars® AR Experience is under the age of 18 or is otherwise legally incapacitated, I am the parent or legal guardian of that individual and agree to all of the terms and conditions of these Terms on that individual’s behalf.

2. The Star Wars® AR Experience, including any photographic images that I generate by means of the Star Wars® AR Experience (“Images”), and any use, publication, sharing or other distribution of those Images, will be solely for personal and noncommercial purposes. STAR WARS® and any related intellectual property provided by means of the Star Wars® AR Experience (collectively, the “Star Wars IP”) are the sole and exclusive property of Lucasfilm Ltd. LLC, and are licensed to Samsung for use in connection with the Star Wars® AR Experience. I will have no right to use, copy, display, perform, create derivative works of or otherwise exploit (collectively, “Use”) the Star Wars IP (or any part thereof), other than Images that I generate by means of Star Wars® AR Experience and Use in accordance with these Terms. Any rights in and to the Star Wars IP not expressly granted to me under these Terms are expressly reserved.

3. I acknowledge that my participation in the Star Wars® AR Experience is completely voluntary and that I am solely responsible during that participation for my personal safety, for the safety of anyone in my care, and for the safety of my personal property. I release and discharge Samsung and its affiliates, designees, licensors, licensees, successors and assigns, and each of their respective officers, directors, agents and employees (collectively, the “Samsung Parties”), from and against any and all liabilities, losses (economic and non-economic), damages, costs, expenses (including attorneys’ fees and expenses), causes of action, suits and claims of any nature whatsoever (collectively, “Liabilities”) that I or any of my heirs, assigns, legal representatives or next of kin (collectively, the “Releasing Parties”) had, now have, or hereafter may have, by reason of any matter directly or indirectly arising out of or connected in any way with my participation in the Star Wars® AR Experience, including Liabilities relating to my bodily injury, disability, death, or damage to or loss of my property, and (b) the exercise of any of the rights granted under these Terms. These Terms release and discharge any and all Liabilities caused in whole or in part by the fault or negligence of any of the Samsung Parties. Without limiting the foregoing, I, on my own behalf and on behalf of each of the Releasing Parties, covenant and agree to waive and to not institute legal proceedings against any of the Samsung Parties for any of the Liabilities that I have released and discharged herein.

4. I will ensure that none of the Images I publish, share or otherwise distribute will contain any content that could offend the public at large, could subject Samsung to liability, or could otherwise reflect negatively on Samsung’s brand or the brands of any of its licensors, all of which I acknowledge and agree are expressly prohibited. By way of example, and without limitation, I will not publish, share or otherwise distribute Images containing profanity, nudity, political speech, third-party intellectual property (such as trademarks, copyrighted images, and names and likenesses of celebrities, other than the Star Wars IP provided by means of the Star Wars® AR Experience), sexually-suggestive or offensive gestures, violence or violent images, cigarettes (including e-cigarettes), drugs or drug paraphernalia, alcoholic beverages, or religious images. I will indemnify, defend and hold harmless the Samsung Parties from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) relating to a breach of this these terms, including a breach of my obligations under Section 3 or this Section 5, or a breach of any of my representations and warranties under Sections 1 or 2.

5. These Terms will be interpreted and enforced in accordance with the laws of the State of New York, without regard to its conflicts of law rules. I agree that only a court of competent jurisdiction located in New York County, New York will have jurisdiction over disputes hereunder and I submit to the personal jurisdiction of such courts and waive any objections I may have with respect thereto. These Terms constitutes the entire understanding that I have with any of the Samsung Parties with regard to the matters referred to herein, and supersedes all prior oral or written representations, proposals and agreements, if any, of these parties.
